Mr.Speech Affiliate Program Agreement

Version 2026-10-21.1

This agreement governs the Mr.Speech affiliate program. It takes effect for you only when the authorised Operator has adopted this version for enrollment, you expressly accept it and your participation is approved. Viewing this page does not enroll you or grant rights in your content.

Program at a glance

  • Commission: 25% of eligible subscription revenue after discounts and excluding tax, during the referred customer's first twelve calendar months of paid service.
  • Access: approval required; a paid Mr.Speech or Team subscription is not required to participate.
  • Customer codes: referral links and affiliate codes attribute the referral; they do not automatically discount the customer's subscription.
  • Content ownership: creators retain ownership of their original content. Section 7 grants specified marketing-use rights in Program Materials, including paid advertising from Mr.Speech's own accounts.
  • Payouts: commissions are reviewed after a 30-day settlement hold and processed through the designated payout provider. Mr.Speech bears its affiliate-platform processing charge; separately disclosed recipient withdrawal, banking and foreign-exchange charges may apply.

This overview helps you navigate the agreement. The detailed provisions below govern.

1. Parties, brand and effective date

This agreement is between Xtended Services Group, Inc., a US company with its business address at 701 Market St, Suite 110-1877, St. Louis, MO 63101, United States (the Operator, we or us), and the individual or organisation approved to participate in the Mr.Speech affiliate program (Partner or you).

Mr.Speech's technology and brand belong to Ullin Noe Yanou, an individual resident in Germany (the Brand Owner), subject to the rights of third-party licensors and creators. Mr.Speech is the product and brand; this agreement does not represent that a separate EU company has already been incorporated. The Operator is the designated temporary commercial operator and administers this program with the Brand Owner's authorisation. It is the contracting party for program administration and is responsible for customer billing/refunds, affiliate commissions and payment obligations, its personnel and service providers, and applicable commercial tax/reporting responsibilities.

The Brand Owner is an intended beneficiary of the intellectual-property, brand, confidentiality and content-licence provisions expressly protecting the Brand Owner. That status does not make the Brand Owner a party promising to pay commissions, a co-seller under this agreement, a guarantor of the Operator's debts, or a joint venture partner. The Operator must not represent otherwise or give a personal guarantee in the Brand Owner's name. An employee, family member or account administrator acting for the Operator does not replace the company as the contracting party.

This agreement transfers no ownership in Mr.Speech's software, source code, product designs, approved pitch and brand materials, names, logos, domains or associated goodwill to the Operator or a Partner. Rights are limited to the express licences. Any separate Operator–Brand Owner agreement and any later transition agreement govern their relationship and preserve obligations owed to Partners. This contractual allocation does not exclude anyone's own unlawful conduct or responsibilities that applicable law imposes regardless of a contractual label, including data-protection responsibilities for processing they actually determine.

The agreement becomes effective for you when you accept the final identified version and we approve your participation. If you apply for an organisation, you confirm that you can bind it. Your approved program offer identifies any special terms agreed in writing. A separately signed campaign order may override specified campaign provisions; it does not silently change your standard referral commission.

2. Joining and participating

You must be at least 18, have legal capacity, give accurate application and payout information, and comply with applicable laws and payout-provider eligibility requirements. Approval is individual to your account or approved organisation. You may not sell, share or transfer your program account or credentials without written permission.

Participation is non-exclusive. You choose which genuine audiences and channels to use. There is no minimum posting commitment, exclusivity requirement or obligation to give a positive review unless a separate campaign order sets lawful, specific deliverables. A complimentary account, invitation or download is not approval to receive commissions.

We may decline applications or pause new referrals for a documented compliance, security or program-integrity reason. That does not automatically erase valid commissions already earned. Section 11 explains suspension and termination.

3. Qualifying customers and attribution

A qualifying customer is a genuine customer whose first eligible paid subscription is attributed to your approved link or code, whose payment is successfully collected, and whose referral complies with this agreement. Existing Free or beta users can qualify if they have not previously started paid service and attribution is established before their first paid purchase. Previously paying customers, fabricated accounts and attempts to restart an existing customer's commission window do not qualify.

The standard link-to-signup attribution window is 90 days after the last eligible referral-link click, subject to the customer's permitted browser storage and privacy choices. Until an authenticated referral is bound, the last eligible link normally takes precedence. A valid code deliberately entered by the customer before their first paid purchase can establish attribution where a browser link was not captured. Once an approved referral is bound to the authenticated customer, later links, codes or device changes do not overwrite it or restart the earning period.

One acquisition can receive one cash affiliate attribution. Your own purchases, purchases made through accounts you control to obtain a reward, circular referrals, duplicate identities and fictitious or refunded purchases are excluded. An acquisition already allocated to a separately rewarded customer-referral program does not also create a cash affiliate commission. Legitimate people sharing a device or network are not disqualified solely for that reason.

Clicks, downloads, signups and paid customers are different events. A click or download alone earns no commission. Browser restrictions, blocked storage or a change of device may interrupt link capture; do not promise that every click or install will be attributable. We provide approved code and support routes for verified missed referrals, without bypassing a customer's privacy choices.

If you believe attribution is missing or wrong, contact the program notice address within 60 days of learning of the issue, with the approximate date, your link or code and evidence you may lawfully share. We will review authoritative account/payment records and any existing competing attribution. We will not award duplicate commissions or change ownership based only on an unverified assertion. Statutory claims are not curtailed by this support-review period.

4. Commission calculation

The standard rate is 25% of eligible subscription revenue actually collected, after customer discounts and excluding VAT, sales tax and comparable transaction taxes. Mr.Speech's own Stripe processing fees and affiliate-platform fees are not deducted from this commission base.

Eligible products at launch are the paid Individual and Pro subscriptions on monthly or annual billing. Team free beta, free access, gifts, trials, top-ups, usage-credit purchases and services not expressly included in an approved offer are excluded. Future paid Team or other products qualify only if we expressly add them to your approved offer.

The earning window begins at the start of the first subscription service period for which the customer makes a positive qualifying payment and ends twelve calendar months later. It is a service-year window, not twelve paid invoices. Upgrades, annual purchases, cancellations, resubscriptions, new discounts, account consolidation or an Operator migration do not restart it.

For prepaid annual or other periods crossing the end of that window, only the proportion of collected, discounted, ex-tax subscription revenue relating to service inside the original earning window is eligible. A first annual term wholly within that window qualifies in full; the next annual renewal wholly after it earns no commission. Monetary amounts are recorded in currency minor units. Service allocation and refund adjustments preserve a consistent rounding method and do not create extra money through split or replayed transactions.

Examples for a wholly eligible period:

Customer's ex-tax subscription payment Partner commission
Individual monthly: EUR 15.00 EUR 3.75
Individual with the 20% beta discount: EUR 12.00 EUR 3.00
Pro monthly: EUR 25.00 EUR 6.25
Pro with the 20% beta discount: EUR 20.00 EUR 5.00
Individual first annual term: EUR 144.00 EUR 36.00
Pro first annual term: EUR 252.00 EUR 63.00

The agreed beta discount applies only to the customer's first three qualifying paid monthly invoices and does not stack with annual pricing. Affiliate attribution is separate from customer promotions. A later price change affects commission only through the customer's actual eligible payment; it does not change your percentage retrospectively. A new standard commission percentage applies only to referrals first bound after its notified effective date. Existing qualifying referrals retain their accepted percentage for the remainder of the original first-year window unless you expressly agree otherwise.

5. Refunds, holds, payouts and taxes

Commission is pending until payment is reconciled and the 30-day settlement hold has passed. Successful refunds reduce the affected commission proportionately to the refunded ex-tax subscription revenue. A full refund leaves no commission on that revenue. An open dispute holds the affected amount; a lost dispute reverses the affected amount, and a won dispute releases it when other conditions are satisfied. Corrections are linked to the original payment; a duplicate event does not create another commission or another reversal.

We normally review mature commissions monthly. Verified, undisputed commissions are submitted for provider payment within 30 days after becoming payable. Identity/tax verification, provider processing, lawful restrictions, documented disputes and payment-network failures can delay delivery. We will give an available reason for a material hold and review it when the required evidence arrives. A pending entry, an approved batch or a transfer to a provider balance is not a statement that money has reached your bank.

PartnerStack is the designated program reporting and payout provider at launch. Its separate account, verification, payout and acceptable-use requirements apply to its services. We may change providers on notice without reducing already earned valid commissions or restarting customer earning windows. Payouts require an approved recipient profile and completed required verification. We do not guarantee that every bank, country or payment rail is supported.

For EUR subscriptions, our source commission ledger and the examples in section 4 are EUR references. PartnerStack may convert eligible revenue and book the resulting reward in USD using its exchange rate and rounding when the transaction is reported, before withdrawal. We do not promise an identical conversion rate or rounding result between our EUR reference and the provider's reward. The provider displays available withdrawal currencies, minimums, processing charges and conversion terms during payout setup; the examples do not guarantee the amount received in your bank. We bear our own affiliate-platform processing charge, including the currently agreed Spark fee of 10% of commissions paid; that charge does not reduce the contractual 25% commission. Your own separately disclosed withdrawal, intermediary-bank or currency-conversion charges may reduce the amount received. We will not introduce a new Operator deduction from accrued commission without your agreement or a legal requirement.

You are responsible for taxes on your earnings and any applicable invoices. Complete the tax documentation requested through the approved secure provider process for your residence and entity type. Do not email bank credentials or tax identifiers to the program team. We or the provider may make legally required withholding and reporting and will supply available records.

If a refund, chargeback or verified error creates an overpayment after payout, we may offset the documented amount against future commission and, where necessary, request repayment of the overpayment within 30 days of a substantiated notice. We will provide the calculation and a review route. This is not permission to debit your bank account without a separate lawful payment authorisation. Valid unrelated commissions are not forfeited merely because a correction is required.

6. Honest promotion and brand use

Use your approved link or code and make the paid, commission-based or gifted relationship clear with the promotion itself. Disclosures must be understandable in the audience's language and prominent enough for the medium, including the video or live content where relevant. For example: “I earn a commission if you subscribe through this link.” Disclose a gifted account even when no commission is expected. A profile-page note, hidden link or ambiguous tag may not adequately disclose an individual promotion.

Your claims must reflect your real experience and the features and prices currently available. Do not invent performance, privacy, security, certification or health claims; misstate “unlimited” allowances; advertise unavailable discounts; fabricate reviews or outcomes; or present planned features as already released. Honest criticism, genuine comparison, disclosures to authorities and legally protected statements are permitted. We do not require a positive review.

Do not use spam, unlawful scraped contacts, purchased reviews, deceptive interfaces, cookie stuffing, forced referrals, malware, unauthorised account access or artificial clicks/accounts. Do not impersonate Mr.Speech, collect customer payments, or claim authority to bind the Operator. Paid search bidding on Mr.Speech brand terms, misleading lookalike domains or handles, unauthorised coupon-site distribution and creator-account advertising require prior written approval. Campaign approval does not waive ad-platform rules or applicable law.

We give you a limited, non-exclusive, revocable permission to use approved Mr.Speech names, logos and supplied promotional assets solely for lawful program promotion. Follow current brand guidelines, respect any asset-specific restrictions and do not register confusingly similar marks, domains or handles. Mr.Speech's IP and goodwill remain with their rightful owner. We may require correction or removal of unlawful, materially misleading, infringing or obsolete promotional claims; reasonable requests will identify the issue and urgency.

Do not claim ownership of supplied Mr.Speech copy, pitch decks, product designs, software or brand assets, or sell, sublicense or use them for an unrelated product. Public facts and your independent honest commentary remain yours to use. Access to non-public source code, strategy or a pitch does not grant permission to disclose or commercialise it. A separate written permission is required for a use outside this program's defined licence.

7. Program Materials, ownership and marketing reuse

7.1 What the grant covers

Program Materials are original promotional videos, photographs, screenshots, tutorials, reviews, captions, text and related creative work that you create specifically for an approved Mr.Speech program promotion and publish with the program link/code, deliver to us, or expressly identify for program use. They include a separately commissioned campaign deliverable only to the extent its campaign order adopts this section.

The grant does not cover all work on your channels, private correspondence, unrelated content, or private Mr.Speech recordings, transcripts, notes or workspace data. Ordinary customer feedback and a gifted or discounted product account do not, by themselves, grant a marketing licence. For content made or published before you accepted this agreement, we need a separate designation or release identifying that content and the rights granted.

7.2 Ownership and licence

You retain ownership of your original Program Materials and your personal brand. Subject to section 7.5 and non-waivable law, you grant the Operator and the Brand Owner a non-exclusive, worldwide, royalty-free licence for the duration of the applicable rights, to reproduce, publish, display, distribute, communicate and adapt the Program Materials for marketing and explaining Mr.Speech.

Permitted uses include Mr.Speech websites and landing pages, app-store listings, product presentations, newsletters, press/marketing kits, organic social posts and paid digital advertising run through Mr.Speech's own authorised advertising accounts. The grant includes your name, public handle, image, likeness and recorded voice as incorporated in the licensed materials or accurately identifying their creator, solely in connection with those Mr.Speech uses.

We may provide the necessary licence to our production, hosting, publishing and advertising service providers, and to an authorised successor operator of the same Mr.Speech brand, only for those purposes and subject to this agreement. They may not sell the materials for an unrelated product, claim ownership of them, or use them independently. Section 12 governs an Operator change; applicable author-consent, transfer and data-protection requirements remain intact.

7.3 Editing and accurate presentation

We may resize, crop, excerpt, caption, subtitle, translate, reformat and combine Program Materials with Mr.Speech branding and other cleared campaign elements. We must preserve their substantive meaning, attribution where appropriate and required sponsorship disclosure. We must not manufacture a testimonial, materially distort your opinion, falsely imply you are still an active partner after departure, or present outdated claims as current facts.

This grant does not authorise AI voice cloning, a synthetic likeness or a new performance you did not make, nor training an AI model on your materials. Those uses need a separate, specific written agreement. Your account passwords and advertising-account permissions are never part of this licence.

7.4 Third-party rights and clearance

You must own or control the rights you grant, including necessary permissions for other identifiable people and for music, footage, fonts, graphics, stock assets and other incorporated work. A licence permitting a song inside one social platform may not permit reuse on another website or in paid advertising. Disclose restrictions and provide a clean master or clearance evidence on reasonable request before we reuse it. We may decline or suspend use of material whose rights are uncertain.

Each party is responsible for material it separately adds. Mr.Speech does not obtain more rights in a third-party element than its actual licence permits. Do not include confidential/customer content, other people's meeting recordings, minors without appropriate lawful permission, or material whose licence cannot cover the intended campaign.

7.5 Compensation, duration and protected rights

The standard program participation and compensation arrangement covers the licence in this section; there is no additional usage royalty unless a written campaign order provides one. This does not create a commitment to buy a production service. Fixed-fee UGC creation, extra revisions, exclusivity, expenses and special campaign access must be agreed separately before work begins.

The copyright licence survives ordinary program termination, to the extent lawful. Non-waivable rights, including applicable author remuneration, moral rights, personality rights, privacy/data-protection rights and legally required consent or withdrawal rights, are preserved. Nothing here purports to make legally revocable consent irrevocable or waive rights the law protects.

If you identify an inaccurate endorsement, changed experience, rights restriction or legally required withdrawal affecting particular material, we will assess the affected use promptly. We will stop new misleading or unlicensed uses and take required removal steps; historical presentation must not imply a current endorsement. Copies retained solely for legal evidence, bookkeeping or inaccessible technical backup are subject to lawful retention and access limits, not permission for continuing advertising.

8. Creator-account advertising and campaign orders

Whitelisting, Meta partnership ads, TikTok Spark Ads, boosting from your handle, or any other advertising presented through your own identity/account requires a separate written campaign authorisation. It must identify the assets, platforms, ad accounts, permitted edits, access method, campaign dates, spending authority and any additional fee. Grant access only through official, limited platform permission tools; never share passwords or unrelated account permissions.

An order for paid UGC production must also identify deliverables, review/revision limits, acceptance, payment timing, expenses, cancellation and usage rights. A paid-production fee is distinct from referral commission. Neither party may assume a general affiliate invitation authorises a particular production job, creator-account campaign or exclusivity period.

9. Confidentiality and customer privacy

Protect non-public credentials, account/payment information, unpublished product material and information expressly identified as confidential. Use it only to perform this agreement. Information already public through no breach, lawfully known, independently developed or lawfully received without a confidentiality duty is excluded. Disclosures required by law and legally protected reports are permitted; give advance notice when lawful and practicable.

This includes non-public source code, unpublished pitch decks, product plans, security details and customer or partner lists supplied for the program. The confidentiality duty lasts during participation and for five years afterwards; information qualifying as a trade secret remains protected while it qualifies under applicable law. On departure or a reasonable request, return or securely delete unnecessary confidential copies, subject to lawful record retention. Do not treat a publicly released pitch or independent general knowledge as a secret.

Use customer information only for authorised referral support. Do not scrape, resell or contact referred customers from program records without an independent lawful basis. Use test/demo content when showing the product and remove private data from screenshots or recordings.

The Operator's completed privacy notice must identify program processing, provider recipients and any relevant international-transfer safeguards. Payout and affiliate providers may separately process their own account and verification information under their notices. This marketing licence is not a general waiver of personal-data rights or permission to process private product content for advertising.

10. Reporting and resolving errors

Your approved dashboard reports available referrals, qualifying revenue, pending/held commissions and payout status. Estimates, clicks or downloaded files do not override verified payment and service records. Report a discrepancy using the notice address and reasonable, lawfully shared evidence. We will investigate the identified issue and explain a material correction or hold without disclosing another partner's private records.

You may ask for a statement of your own commission adjustments and payment references. We retain the records necessary for tax, contractual, fraud, security and other legal obligations under a documented retention policy. Program records and valid balances must remain attributable during any supported provider or Operator migration.

11. Suspension and termination

Either party may end participation by written notice. We may suspend new activity immediately for reasonably supported fraud, unlawful conduct, serious security risk or provider/legal restrictions, and must identify the reason to the extent lawful. For a remediable ordinary breach, we will normally give written notice and ten business days to remedy it before termination. We may end the general program on 30 days' notice.

After termination, stop representing yourself as a current partner and stop using Mr.Speech materials under the program's revocable brand licence. New referrals are no longer accepted. Valid qualifying referrals already bound before termination continue to earn for the remainder of their original first-year window, subject to this agreement's refunds, disputes and lawful eligibility conditions. Proven fraudulent or ineligible referrals do not become payable merely because they were displayed in a dashboard.

Termination does not erase valid accrued commission, an established repayment obligation, confidentiality, cleared content-use rights or either party's rights concerning an earlier breach. We do not confiscate earned commission merely because you leave the program or express an honest opinion.

12. Future Operator or provider changes

Mr.Speech may later move from its temporary licensed commercial Operator to a new authorised Operator of the same brand. We will give advance notice where required, identify the new contracting/data-controller details and explain any new provider or payout setup and consent needed. A change must follow applicable assignment, novation, author-consent and privacy requirements; we do not promise that a provider account or bank authorisation transfers automatically.

Customer attribution, the original first-paid-service start, recorded adjustments and valid unpaid commission must be preserved. The existing Operator remains responsible for its obligations unless they are lawfully assumed and any required consent is obtained. An Operator change does not give Mr.Speech ownership of a Partner's content or permit its use for an unrelated brand.

13. Responsibility and limits

Each party confirms that it has authority to enter this agreement and grant its stated rights. You are an independent participant, not Mr.Speech's employee, agent or reseller; you cannot sign customer contracts or collect payments for us. No level of referrals, income or future product availability is guaranteed.

Each party is responsible for its own unlawful conduct and for third-party claims caused by its breach of the rights it expressly warrants. The affected party must give reasonable notice and an opportunity to participate in the response, mitigate loss and obtain consent before agreeing to a settlement that binds the other party. This is not an unlimited indemnity for issues outside a party's control or for material the other party adds.

Subject to mandatory law, neither party is liable for indirect or consequential losses. Each party's aggregate ordinary contractual liability is limited to the greater of EUR 1,000 and commission paid or payable under this agreement in the preceding twelve months. These limits do not exclude valid commission/payment obligations, established overpayment corrections, fraud, deliberate wrongdoing or liability that cannot legally be limited. Mandatory local protections prevail wherever applicable.

The ordinary cap also does not limit deliberate misuse of Mr.Speech or creator intellectual property, an intentional confidentiality breach, or the Operator's obligations under its separate agreement with the Brand Owner. The Brand Owner's beneficiary status does not give the Operator permission to pass its ordinary commercial debts to the Brand Owner. Anyone using licensed content must still respect the scope of the licence and rights preserved in section 7.

14. Notices, changes and applicable law

Send formal contractual notices to Xtended Services Group, Inc., 701 Market St, Suite 110-1877, St. Louis, MO 63101, United States, or an electronic notice address the Operator expressly designates in writing. Notices to a Partner use the contact maintained in their program account. General program questions may be sent to hello@mrspeech.app; that program inbox is not assumed to be the Operator's formal notice email until designated. Keep your notice details current. Electronic acceptance and campaign authorisations must identify the version or materials accepted and the authorised participant.

We will give at least 30 days' notice of a material prospective change unless a faster change is required by law or necessary to address an immediate security or fraud issue. A change does not reduce valid accrued commission or the accepted percentage for existing qualifying referrals, restart a customer's first-year clock or retrospectively acquire rights in content already created. A broader content grant or other change requiring agreement must be expressly accepted; updating text at an unchanged URL is not sufficient proof of that acceptance.

This agreement and any expressly incorporated approved offer/campaign order form the agreement for program participation. Mr.Speech product terms govern ordinary app use; payout-platform terms govern that platform's services. Any conflict must be resolved in the relevant scope, rather than treating platform membership as acceptance of Mr.Speech content rights. Invalid provisions do not invalidate the remainder where the law permits severance.

Governing law: the laws of the State of Missouri, United States, together with applicable US federal law. This choice concerns this affiliate agreement; it does not select the law for every customer's product contract or determine the Brand Owner's German tax, immigration or data-protection obligations. Conflict-of-law rules are excluded only to the extent legally permitted. Mandatory protections, including applicable author, consumer, employment and data-protection rights, remain available where they apply.

Dispute forum: the competent state courts located in the City of St. Louis, Missouri, or the US District Court for the Eastern District of Missouri sitting in St. Louis if it has subject-matter jurisdiction. This forum applies only to the extent a valid agreement may select it; any mandatory right to another court is preserved. Either party may seek urgent protective relief from a competent court. No mandatory arbitration or class-action waiver is introduced by this agreement.

Before starting ordinary litigation, the parties will try for 30 days after written notice to resolve an identified dispute in good faith. That process does not prevent urgent relief, regulatory complaints or filing needed to preserve a statutory deadline. English is the drafting language; a translation or language priority cannot remove mandatory local-language protections.

Version: 2026-10-21.1, prepared 21 October 2026. Effective date for each Partner: the date on which the authorised Operator has adopted this version for enrollment, that Partner has expressly accepted it, and the Operator has approved their participation, whichever required event occurs last. Those events must be recorded; the preparation date and a page view are not substitutes for acceptance.
